Terms and Conditions

Effective Date: 5 January 2026

These Terms apply from the Effective Date onward and do not apply retroactively to past usage, earnings, or activity.

These Terms and Conditions ("Terms of Service") govern the relationship between you and Think Osem Sdn Bhd and its affiliates ("Think Osem", "we", "us", or "our") regarding your access to and use of the OSEM mobile application, websites, and related services (collectively, the "Service").

By accessing, installing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Service.

1. Eligibility and Registration

You may only register one account and must provide complete, accurate, and truthful information.
If you are a minor, your legal guardian must review and agree to these Terms on your behalf.
You agree to the collection and use of your data in accordance with our Privacy Policy.
The contract between you and Think Osem is concluded upon your use of the Service.

2. Service Access and Plans

Right to Amend Terms

Think Osem reserves the right to amend, modify, or update these Terms at any time. Any changes will take effect upon publication. Continued use of the Service after updated Terms are published constitutes your acceptance of such changes.

2.1 Trial and Free Access

Certain features of the Service may be available on a free or trial basis. Think Osem may modify or discontinue free features at any time without notice.

2.2 Premium Services

“Premium” is a paid subscription that unlocks additional features and content. Premium services are offered for a fee as displayed within the application or relevant app store. Think Osem reserves the right to enhance, modify, or remove Premium features at any time without prior notice.

3. Account Security

You are responsible for maintaining the confidentiality of your login credentials.
You are fully responsible for all activities conducted through your account.
Think Osem may reclaim or remove usernames at its discretion.

4. Acceptable Use and License Limitations

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes only.

You agree not to:

Misuse the Service or engage in fraudulent, abusive, or unlawful activity
Use automated systems, bots, or manipulation techniques
Upload offensive, illegal, or infringing content
Reverse engineer or attempt to access restricted areas of the Service

Think Osem reserves the right to determine violations and take appropriate action, including suspension or restriction of access.

5. Suspension and Termination

Think Osem may suspend or restrict access to your account at any time if you violate these Terms, engage in suspected misuse, or if Think Osem determines that your account poses legal, security, or operational risk.

For clarity:

Accounts are generally disabled or restricted, not permanently deleted, in cases of violation
Upon suspension, access to the Service will cease, and lessons or content may be unpublished or made inaccessible
Users will not be able to access suspended accounts or related content during the suspension period
No refunds or compensation will be provided in connection with suspension or restriction of access

At present, Think Osem does not delete accounts solely due to inactivity, including inactivity exceeding 180 days. Think Osem reserves the right to revise its inactivity and data retention policies in the future.

You may request account termination at any time by following the instructions provided by Think Osem support. Account termination may result in permanent loss of access to the Service and associated content, subject to applicable laws and internal policies.

6. Intellectual Property

6.1 Service Ownership

All rights, title, and interest in the Service, including software, content, and materials, are owned by Think Osem or its licensors.

Teachers retain ownership of their original lesson content. By uploading or publishing content, Teachers grant Think Osem a non-exclusive, worldwide, royalty-free license to host, use, reproduce, distribute, display, and promote such content solely in connection with the Service.

6.2 Accounts

Accounts are licensed, not owned. Users have no property interest in their accounts.

7. User Content

You are solely responsible for all content you submit or upload to the Service.

By submitting content, you grant Think Osem a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and display such content in connection with the Service.

Think Osem may, but is not obligated to, monitor, remove, or restrict access to any content at its discretion.

8. Teacher-Specific Terms

Nothing in these Terms creates an employment, partnership, agency, or joint venture relationship between Think Osem and any Teacher.

8.1 Lesson Content

Teachers may publish or unpublish lessons at their discretion. All teacher content may be reviewed for quality and compliance.

8.2 Teacher Royalty

Teacher royalty is calculated only when Premium Users access and use a Teacher’s published lessons.
Lessons accessed by free, trial, or non-premium users do not generate royalty.
Royalty is based on unique pages learned by Premium Users, counted once per user per day.
Think Osem’s internal systems, logs, and analytics shall be the final and authoritative source for determining lesson usage, eligibility, and royalty calculations.
Royalty rates, limits, payment thresholds, schedules, and eligibility criteria may be changed, reduced, withheld, adjusted, suspended, or discontinued at any time at Think Osem’s sole discretion.
Think Osem does not guarantee any minimum earnings or frequency of royalty payments.
Upon suspension, restriction, or termination (if applicable) of a Teacher account, any pending or unpaid royalty is forfeited.

9. Payments and Fees

All purchases are final and non-refundable unless required by applicable law. Think Osem may revise pricing at any time. Unused services or virtual items have no monetary value.

10. Updates to the Service

Think Osem may update, modify, or discontinue any part of the Service at any time, with or without notice.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. Think Osem disclaims all warranties to the maximum extent permitted by law.

12. Limitation of Liability

Think Osem shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by you to Think Osem in the six (6) months preceding the claim.

13. Indemnification

You agree to indemnify and hold Think Osem harmless from claims arising from your use of the Service or violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved exclusively in the courts of Malaysia.

15. Miscellaneous

Survival: Sections relating to intellectual property, royalty, limitation of liability, indemnification, and governing law shall survive termination
Severability: Invalid provisions shall not affect remaining terms
Assignment: Think Osem may assign these Terms without restriction
No Waiver: Failure to enforce does not constitute waiver
Force Majeure: Think Osem is not liable for events beyond reasonable control
Language: The English version shall prevail in case of inconsistency
